  • Analysis means the AI-generated output produced when You submit a chart image to the Service, including directional assessments, confidence scores, and reasoning from multiple AI models.
  • Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to the operator of upordown.ai.
  • Credit means a unit of service entitling You to one chart Analysis. One Credit is consumed each time You initiate an Analysis.
  • Credit Package means a bundle of Credits available for purchase through the Service.
  • Device means any device that can access the Service such as a computer, a cell phone, or a digital tablet.
  • Service refers to the AI-powered chart analysis platform provided through the Website, which uses multiple artificial intelligence models to analyze user-uploaded chart images and provide directional market analysis.
  • Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
  • Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
  • Website refers to upordown.ai, accessible from https://upordown.ai.
  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Credits and Purchases

The Service operates on a credit-based system. To use the analysis features, You must have available Credits in Your account.

  • Credit Consumption: One Credit is consumed each time You initiate an Analysis. Credits are deducted at the time the Analysis begins processing.
  • Non-Transferable: Credits are non-transferable and may only be used by the account that purchased or received them.
  • No Expiration: Purchased Credits do not expire and remain available in Your account until used.
  • Free Credits: New accounts may receive complimentary Credits. These free Credits are subject to the same terms as purchased Credits.
  • Payment Processing: All payments are processed by Paddle, our third-party payment processor. By making a purchase, You also agree to Paddle's terms of service.
  • Refunds: Our refund policy is outlined in our separate Refunds Policy.
  • Service Availability: The availability of the Service and Analyses is not guaranteed, and temporary outages do not entitle You to refunds or compensation, except as required by applicable law.

No Financial Advice Disclaimer

THE SERVICE IS PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. NOTHING CONTAINED IN THE SERVICE CONSTITUTES INVESTMENT, FINANCIAL, LEGAL, TAX, OR OTHER PROFESSIONAL ADVICE.

The Analyses provided by the Service are generated by artificial intelligence models and should not be construed as recommendations to buy, sell, or hold any financial instrument. You acknowledge and agree that:

  • The Company is not a registered investment advisor, broker-dealer, or financial planner.
  • Any trading or investment decisions You make are solely Your responsibility.
  • Past performance indicated in any Analysis does not guarantee future results.
  • You should consult with qualified financial professionals before making any investment decisions.
  • The Company shall not be liable for any losses, damages, or costs arising from Your reliance on the Analyses or any trading/investment decisions You make.

AI-Generated Content

The Analyses provided through the Service are generated by third-party artificial intelligence models. You acknowledge and understand that:

  • AI-generated content may contain errors, inaccuracies, or inconsistencies.
  • Different AI models may produce contradictory or conflicting analyses for the same chart.
  • The Company does not guarantee the accuracy, completeness, reliability, or timeliness of any Analysis.
  • AI models may experience technical failures, produce unexpected outputs, or be temporarily unavailable.
  • You are solely responsible for verifying any information provided in an Analysis before acting upon it.

User-Uploaded Content

When You upload chart images to the Service, You retain full ownership of Your content. However, by uploading content, You grant the Company a limited, non-exclusive license to:

  • Process and analyze the images using third-party AI models.
  • Store the images temporarily as necessary to provide the Service.
  • Generate and deliver Analyses based on the uploaded content.

You represent and warrant that:

  • You have the right to upload and share the images You submit.
  • Your uploaded content does not violate any third-party rights, including intellectual property rights.
  • Your uploaded content does not contain any illegal, harmful, or offensive material.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use automated scripts, bots, or other programmatic means to access the Service without prior written permission.
  • Attempt to reverse engineer, decompile, or extract the underlying AI models or algorithms.
  • Share Your account credentials with others or allow unauthorized access to Your account.
  • Circumvent or attempt to circumvent any usage limits or security measures.
  • Use the Service in any manner that could damage, disable, or impair the Service.
  • Upload content that is illegal, harmful, threatening, abusive, or otherwise objectionable.
  • Resell, redistribute, or commercially exploit the Analyses without prior written consent.

Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of Germany and foreign countries.

Our trademarks, trade names, logos, and brand elements, including but not limited to "upordown.ai" and associated visual designs, may not be used in connection with any product or service without the prior written consent of the Company. Nothing in these Terms grants You any right to use the Company's trademarks, logos, or other brand features.

Feedback and Suggestions

If You provide the Company with any feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), You hereby grant to the Company a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and exploit such Feedback in any manner it deems appropriate, without obligation to compensate You or any third party.

You agree that all Feedback is non-confidential and the Company shall be entitled to the unrestricted use and dissemination of such Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to You.

Links to Other Websites

Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

Termination

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately. Unused Credits may be forfeited only where termination results from Your breach of these Terms and to the extent permitted by applicable law.

Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice or liability. This includes changes to features, functionality, pricing, and availability. We may also impose limits on certain features or restrict access to parts of the Service without notice or liability.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 EUR if You haven't purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

IN PARTICULAR, THE COMPANY SHALL NOT BE LIABLE FOR ANY FINANCIAL LOSSES, TRADING LOSSES, OR INVESTMENT LOSSES RESULTING FROM YOUR USE OF OR RELIANCE ON THE SERVICE OR ANY ANALYSIS PROVIDED THROUGH THE SERVICE.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these jurisdictions, each party's liability will be limited to the greatest extent permitted by law.

Without limiting the foregoing, neither the Company nor any of the company's providers makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

For European Union (EU) Users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
